ITC Completes ₹645 Cr Acquisition of Yoga Bar Parent Sproutlife

The FMCG major has taken full ownership of the digital-first nutrition brand as Yoga Bar’s turnover more than doubled to ₹452 Cr in FY26.

ITC has completed the acquisition of Sproutlife Foods, the Bengaluru-based parent company of nutrition and healthy foods brand Yoga Bar, taking its ownership in the company to 100%. The transaction strengthens ITC’s presence in the growing digital-first and health-focused foods segment.

According to the company’s exchange filing, ITC acquired the remaining 52.5% stake through a secondary purchase of 13,445 equity shares for approximately ₹645 crore. The transaction was completed entirely through cash consideration, making Sproutlife a wholly owned subsidiary of ITC effective September 28.

Yoga Bar operates as a digital-first brand with a significant presence across D2C and e-commerce channels, alongside an expanding offline retail footprint. Its portfolio is focused on nutrition and healthy food products, giving ITC a stronger presence in a segment aligned with evolving consumer preferences.

Sproutlife has recorded significant growth in recent years. Its turnover more than doubled to ₹452 crore in FY26 from ₹200 crore in FY25, after reaching ₹108 crore in FY24. The scale-up highlights the growth achieved by Yoga Bar since ITC first entered the company.

ITC initially invested in Sproutlife in May 2023, acquiring a 39.42% stake for ₹175 crore after announcing plans to acquire the company in phases. Its holding subsequently increased to around 47.5% before the latest transaction completed the acquisition.

ITC said the acquisition is aligned with its strategy of strengthening its future-ready foods portfolio. Full ownership also gives the FMCG major greater control over Yoga Bar’s continued expansion across digital and physical retail channels.

The transaction reflects the broader interest of established FMCG companies in acquiring new-age and digital-first consumer brands. ITC has also moved to expand its food portfolio through its planned acquisition of Prasuma and Meatigo. Other large FMCG companies, including Hindustan Unilever, Marico, Emami and VLCC, have similarly expanded their portfolios through acquisitions in emerging consumer categories.

For Yoga Bar, the acquisition brings the brand fully into ITC’s portfolio after a phased ownership journey that began in 2023. With turnover reaching ₹452 crore in FY26 and a presence across D2C, e-commerce and offline retail, Sproutlife becomes an important part of ITC’s strategy to build its next generation of foods businesses.
